Proposed Amendments to CAPA Bylaws - to be voted upon at CAPA Annual Meeting - August 21, 2025
The CAPA Board's Bylaws Committee (Mark Blitz, Jill Jorstad, Kevin McPherson and Richard Russell) met this summer and decided there were three ways that our current Bylaws could be improved. The three issues the Committee addressed were: having the Board choose its own President and Vice President each year, clarifying the role of the Nominating Committee in our election process and returning to a "most votes wins" ballot counting approach. The full Board reviewed the Committee's proposed changes and approved them for presentation to the membership.
Changing CAPA's Bylaws requires a two-thirds vote of the membership at our Annual Meeting and we'll be voting on these proposed changes at our upcoming meeting on August 21st. The linked documents include an Overview and Rationale for the Amendments and the Proposed changes to the Bylaws. There will be time for questions and discussion at the meeting and we look forward to getting input from our members before we vote on the proposed amendments.
